1. Service Description
Atrium is a hotel operations platform operated by Concierly ("we," "our," or "us"). The platform provides tools for housekeeping management, maintenance work orders, food & beverage operations, guest complaint tracking, inventory control, procurement, and security patrol monitoring.
2. Eligibility
You must be at least 18 years of age to use Atrium. By creating an account, you represent that you are authorized by the hotel or property you are associated with to use the platform on their behalf.
3. Account Registration
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to update it as necessary.
4. Acceptable Use
You agree not to: reverse engineer, decompile, or disassemble the platform; scrape, harvest, or collect data by automated means; attempt unauthorized access to other accounts or systems; use the platform for unlawful purposes; interfere with the service's performance.
5. User Content
You retain ownership of all content you submit to Atrium, including task data, photos, and operational records. By using the platform, you grant us a limited license to store, process, and display your content solely for providing and improving the service.
6. Intellectual Property
Atrium, Concierly, and all associated logos, designs, and content are trademarks and intellectual property of Concierly. The platform software, including its design, code, and documentation, remains our exclusive property.
7. Subscription & Payment
Access to Atrium is provided through a subscription agreement. Fees are as quoted in your subscription agreement or order form. Payment terms, billing cycles, and pricing details are specified in your individual agreement with Concierly.
8. Free Trials
We may offer free trial periods at our discretion. At the end of a trial, your account will convert to a paid subscription unless you cancel before the trial expires. We will notify you before any charges begin.
9. Cancellation & Termination
You may cancel your subscription at any time. Upon cancellation, you will retain access until the end of your current billing period. Data export is available for 30 days following cancellation. We reserve the right to terminate accounts that violate these terms.
10. Modifications to Service
We may update, modify, or discontinue features of Atrium at any time. We will provide reasonable notice of material changes through email or in-app notifications. Continued use after changes constitutes acceptance.
11. Disclaimer of Warranties
Atrium is provided on an "as-is" and "as-available" basis. We make no warranties, express or implied, regarding reliability, availability, or fitness for a particular purpose.
12. Limitation of Liability
To the maximum extent permitted by law, Concierly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. This limitation applies to all claims, including those arising from data breaches, unauthorized access, data loss, or service interruptions. Our total liability for any claim shall not exceed the fees paid by your hotel in the 12 months preceding the claim.
13. Force Majeure
Concierly shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, cyberattacks on third-party infrastructure, internet service disruptions, failures of cloud hosting or service providers, power outages, pandemics, or acts of terrorism.
14. Data Controller Responsibilities
Hotels subscribing to Atrium act as data controllers for staff and guest data processed through the platform. Concierly acts as a data processor on behalf of the hotel. Hotel administrators are responsible for: ensuring lawful grounds for data processing; obtaining necessary consents from staff and guests; complying with applicable data protection regulations (including GDPR and CCPA); and responding to data subject requests from their own employees and guests.
15. Indemnification
You agree to indemnify and hold Concierly harmless from any claims, damages, or expenses arising from your use of Atrium or violation of these terms.
16. Governing Law
These Terms shall be governed by the laws of Singapore, without regard to conflict of law provisions.
17. Dispute Resolution
Disputes shall first be resolved through good faith negotiation. If unresolved within 30 days, they shall be submitted to binding arbitration in Singapore under the Singapore International Arbitration Centre rules.
18. Severability
If any provision is found unenforceable, it shall be limited to the minimum extent necessary and remaining provisions remain in full effect.
